Please read these Terms of Service carefully. These Terms govern your access to and use of Geode, including the Geode applications, website, direct distribution versions, optional cloud processing features, paid plans, subscriptions, Lifetime Licenses, and Cloud Top-Ups.

1. Introduction and Acceptance

These Terms of Service (the “Terms”) form a legally binding agreement between you and OmniIntelliLink Pte. Ltd. (“Company”, “we”, “us”, or “our”) regarding your access to and use of Geode. Geode is a product and brand owned by OmniIntelliLink Pte. Ltd.

By downloading, installing, accessing, purchasing, subscribing to, or using Geode, you agree to these Terms. If you do not agree to these Terms, you must not use Geode.

If you use Geode on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and that organization, where applicable.

If you are a consumer, nothing in these Terms limits any mandatory consumer rights that cannot be waived under the laws of your country of residence.

2. Definitions

“App” or “Software” means the Geode software applications for supported platforms. Currently supported platforms include iPhone, iPad, and Mac. We may make Geode available on additional platforms, such as Android or Windows, in the future.

“Services” means the App, Software, website, accounts, license activation, purchase flows, optional cloud processing, support, updates, and related services made available by us.

“Geode” means the product and brand provided by OmniIntelliLink Pte. Ltd.

“User Content” means audio, video, recordings, transcripts, translations, summaries, notes, templates, files, exports, or other content that you record, import, generate, process, export, or store using Geode.

“Local Processing” means processing performed on your device without uploading the relevant User Content to our cloud processing infrastructure.

“Cloud Processing” means optional cloud transcription, cloud summaries, or other cloud-powered features that you actively choose and that require uploading content needed for that task.

“Paid Plan” means a subscription, Lifetime License, Cloud Top-Up, paid add-on, or other paid access right offered by us or through an authorized platform or payment processor.

“Direct Purchase” means a purchase made through Geode’s website, direct distribution versions of the App, in-app upgrade links that redirect to an authorized payment processor, or other purchase flows operated or authorized by us.

3. Description of Geode

Geode is a local-first, cloud-optional tool for recording, importing, transcribing, translating, reviewing, and summarizing audio and video content. Geode is designed to help users turn spoken content into transcripts, summaries, notes, and other reviewable materials.

Geode supports Local Processing by default for supported features and devices. Optional Cloud Processing is available only when you choose it in the App or through a related workflow. Feature availability may vary by platform, device, operating system, plan, region, language, model, and product version.

We may modify, improve, limit, suspend, or discontinue features from time to time, subject to Section 27 (Changes to These Terms) and applicable law.

4. Local Processing and Optional Cloud Processing

Geode is local-first. Supported local features, including local transcription on iPhone, iPad, and Mac, and on-device summaries on Mac, can operate on your device without uploading the relevant User Content to our cloud processing infrastructure. Feature availability varies by platform and device. Speaker separation is currently available on Mac only.

Cloud Processing is optional. If you choose cloud transcription, cloud summaries, or other cloud-powered features, the User Content needed for that task may be uploaded to cloud infrastructure operated by authorized cloud service providers selected by us. Information about our current cloud service providers, the regions where Cloud Processing may occur, and applicable safeguards is available in our Privacy Policy. Such content is processed only to provide the task you requested and is permanently deleted immediately after processing, as further described in our Privacy Policy.

If you do not choose Cloud Processing, supported local features can operate locally as described in the App and our Privacy Policy. Some features, languages, models, templates, file types, processing modes, or performance levels may require Cloud Processing, a paid plan, cloud credits, network access, supported hardware, or a supported operating system.

Cloud Processing depends on network availability, third-party infrastructure, file condition, supported formats, and other technical factors. If a cloud transcription or cloud summary task fails, is interrupted, or does not generate a usable result, we will, at our discretion and where technically feasible, retry the task, restore the affected credit or allowance, or provide another reasonable remedy. If the failure was caused by unsupported files, user-side connectivity issues, misuse, third-party service interruptions, or factors outside our reasonable control, we may not be able to restore credits, but we will make reasonable efforts to inform you of the cause.

5. Accounts, Sign-In, and Cross-Platform Use

Depending on how you purchased Geode and the platform you are using, you may need to create or sign in to a Geode account to activate plans, sync entitlements across supported platforms, use paid features, manage purchases, access cloud credits, or receive support. For purchases made through Apple’s App Store or Google Play, entitlements may also be managed through the applicable platform account, such as Apple ID or Google Account, as further described in the App.

Unless otherwise stated at checkout, in the App, or in the applicable plan description, one paid Geode account unlocks eligible Geode features across supported Geode apps, including iPhone, iPad, and Mac, without requiring separate purchases for each supported platform.

A Geode account may be signed in on multiple supported devices at the same time, up to the device limit shown in the App, at checkout, or in the applicable plan description for your plan. We may apply reasonable activation, authentication, or anti-abuse limits to prevent account sharing, credential resale, automated abuse, fraud, or other unauthorized use.

You may not share, sell, rent, sublicense, transfer, or make available your account, license, subscription, Lifetime License, Cloud Top-Up, or cloud credits to another person or organization, except as expressly permitted by us in writing or by the applicable plan description.

You are responsible for maintaining the confidentiality of your account credentials and, except where unauthorized access occurs without your fault, for activity that occurs under your account. You must promptly notify us if you suspect unauthorized access or account misuse.

6. Software License and Direct Distribution

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Software for your personal or internal business purposes on supported devices.

You may not copy, modify, adapt, translate, rent, lease, sell, resell, sublicense, distribute, publicly perform, publicly display, host, provide as a service bureau, or otherwise exploit the Software except as expressly permitted by these Terms.

You may not reverse engineer, decompile, disassemble, attempt to derive source code, bypass license or activation controls, extract models or algorithms, circumvent usage limits, disable security features, or interfere with the operation of the Software, except to the extent such restriction is prohibited by applicable law, including mandatory rights to decompile for interoperability.

Direct distribution versions of Geode may be downloaded from our official website or other channels authorized by us. You should not download Geode from unauthorized sources. We are not responsible for modified, counterfeit, malicious, or unauthorized copies of the Software.

7. Free Trial and Free Plan

When you first download and use Geode, you may receive a 7-day free trial. If, during the trial period, you download and sign in to Geode on another supported platform, your free trial may be extended by an additional 7 days. Trial availability, eligibility, and extension rules may be shown in the App and may change from time to time.

At the end of the free trial, your account will automatically move to the Free Plan unless you choose to purchase a paid plan. Geode does not automatically charge you at the end of the free trial unless you have separately completed a paid purchase or subscription checkout.

The Free Plan may include limited usage allowances, limited features, or other restrictions. We may modify, limit, suspend, or discontinue free features from time to time. Where reasonably practicable, we will provide notice of material changes to free features. This does not affect any rights you may have under applicable law.

8. Paid Plans, Subscriptions, Lifetime Licenses, and Cloud Top-Ups

8.1 Paid Plans and Subscriptions

Geode may offer paid subscriptions on a monthly, annual, or other recurring basis. Subscription features, prices, cloud allowances, usage limits, renewal terms, and billing periods are displayed in the App, at checkout, or in the applicable plan description.

Subscriptions renew automatically at the end of each billing period unless canceled before renewal through the applicable platform, payment processor, account page, or purchase flow. If you cancel a subscription, you may continue to access the paid features until the end of the current billing period, unless otherwise stated at checkout or required by applicable law.

Monthly cloud transcription quotas, cloud summary quotas, or other recurring cloud allowances included in a subscription reset at the end of each billing period. Unused monthly cloud allowances do not roll over, have no cash value, and are not refundable or transferable, except where required by applicable law.

8.2 Lifetime Licenses

A “Lifetime License” grants you ongoing access to the paid local features of Geode that are included in the Lifetime License at the time of purchase, together with ordinary updates and improvements to those Geode features, for as long as we continue to offer and support Geode.

Unless expressly stated at checkout, a Lifetime License does not include cloud transcription credits, cloud summaries, Cloud Top-Ups, cloud templates, third-party service costs, enterprise services, separate paid add-ons, or separately marketed and priced future products or plans.

We may, at our discretion, include additional local Geode features in the Lifetime License as part of ordinary product development, but we do not commit to adding any specific future features. A Lifetime License is not transferable, resellable, or shareable unless expressly permitted by us in writing.

If we discontinue Geode entirely, not merely a particular feature, plan, platform, or integration, we will provide reasonable advance notice where practicable and, where feasible, a transition path, alternative, or other reasonable information about how the discontinuation affects existing users.

For purposes of this Section, “continue to offer and support Geode” means we have not formally discontinued Geode as a product. Routine product changes, feature evolution, reduced update frequency, or platform support adjustments do not, by themselves, constitute discontinuation.

8.3 Cloud Top-Ups

A Cloud Top-Up provides a limited amount of optional cloud usage. Unless otherwise stated at checkout, a Cloud Top-Up currently consists of 5 hours of cloud transcription and 30 cloud summaries.

Cloud Top-Up credits are valid for three months from the date of purchase and expire automatically if not used within that period. Unused Cloud Top-Up credits are not refundable, transferable, or redeemable for cash, except where required by applicable law.

Cloud Top-Ups do not renew automatically unless expressly stated at checkout. Cloud Top-Ups are separate from subscription cloud allowances and may be subject to separate usage rules, technical limitations, and regional availability.

9. Payments, Platforms, Taxes, Renewals, and Refunds

Purchases made through Apple’s App Store are processed by Apple and are subject to Apple’s payment, renewal, cancellation, and refund policies. Purchases made through Google Play are processed by Google and are subject to Google Play’s payment, renewal, cancellation, and refund policies.

Direct Purchases made through our website, direct distribution versions of the App, or in-app upgrade links may be processed by Creem or by other authorized payment processors or distribution platforms we may support from time to time. The applicable payment processor or platform may handle payment information, billing, taxes, invoices, renewals, cancellations, and refund requests according to the terms presented at checkout.

Unless otherwise stated at checkout or required by applicable law, Direct Purchases, including subscriptions, Lifetime Licenses, Cloud Top-Ups, and other paid add-ons, are final and non-refundable. Section 10 explains certain statutory withdrawal rights that may apply to consumers in the EU/EEA, United Kingdom, and Switzerland.

Prices may be displayed exclusive or inclusive of taxes depending on the platform, payment processor, region, and applicable law. You are responsible for any applicable taxes unless the applicable platform or payment processor collects them from you at checkout.

We may change prices or paid plan terms from time to time. Changes to existing paid subscriptions or paid access will be handled in accordance with Section 27 (Changes to These Terms), the applicable platform or payment processor rules, and applicable law.

10. EU/EEA/UK/Swiss Consumer Withdrawal Rights

This Section applies only if you are a consumer, meaning a natural person acting outside your trade, business, craft, or profession, and you are resident in the European Union, European Economic Area, United Kingdom, or Switzerland.

Subject to applicable law and the digital content rules described below, you may have a statutory right to withdraw from a purchase of digital content or services within 14 days without giving any reason.

10.1 How to Withdraw

To exercise your withdrawal right, send us a clear statement of your decision to withdraw by email to [email protected] with the subject line “Withdrawal Request”. You may use the model withdrawal form below, but it is not mandatory.

10.2 Model Withdrawal Form

To: OmniIntelliLink Pte. Ltd., 116 CHANGI ROAD, #03-06, WIS@CHANGI, SINGAPORE 419718, [email protected]

I/We hereby give notice that I/we withdraw from my/our contract for the purchase of the following digital content or service:

Ordered on: [date]

Order reference: [reference]

Name of consumer: [name]

Address of consumer: [address]

Date: [date]

Signature: [only if this form is sent on paper]

10.3 Effects of Withdrawal

If you validly withdraw within the statutory period, we will refund payments received from you for the relevant purchase without undue delay and no later than 14 days from the day on which we are informed of your decision to withdraw. We may need to verify your withdrawal request and whether your withdrawal right has been validly waived under Section 10.4 before issuing a refund. Unless otherwise required by law or agreed with you, the refund will be made using the same payment method used for the initial transaction, and you will not be charged fees for the refund.

10.4 Loss of Withdrawal Right for Digital Content

For digital content not supplied on a tangible medium, including software downloads, subscriptions, Lifetime Licenses, Cloud Top-Ups, and other digital access rights, you may choose to begin access or performance before the 14-day withdrawal period expires.

If, at checkout, you (a) expressly consent to immediate access to the digital content or services before the end of the withdrawal period and (b) acknowledge that you will lose your statutory right of withdrawal once access or performance begins, your withdrawal right may end once you download, install, activate, access, or otherwise begin using the digital content or services, to the extent permitted by applicable law.

If you do not provide such express consent and acknowledgment at checkout, your statutory withdrawal right remains available for the full withdrawal period, subject to applicable law.

Purchases made through Apple’s App Store or Google Play may be subject to the platform’s consumer cancellation and refund procedures. This Section does not limit any mandatory statutory rights you may have against the applicable platform, processor, or us.

11. User Content, Local Storage, Backup, and Export

You retain ownership of your User Content. We do not claim ownership of recordings, transcripts, translations, summaries, notes, or exports you create using Geode.

For Local Processing, User Content is stored on your device unless you choose to export, share, upload, sync, or otherwise transfer it. We do not provide default cloud backup of your local User Content. You are responsible for maintaining appropriate backups and for protecting exported files.

Deleting the App, losing a device, system failures, file corruption, insufficient storage, or user error may result in loss of User Content. We are not responsible for loss or deletion of User Content stored locally on your device.

If you export, share, publish, upload, or send User Content to another service, person, editor, organization, or platform, you are responsible for that disclosure and for complying with applicable laws, permissions, confidentiality obligations, and third-party terms.

12. Privacy and Data Protection

Our Privacy Policy is available on our website at geodeclarity.com and through the App. The Privacy Policy explains how we collect, use, disclose, store, protect, and delete information in connection with Geode, including legal bases, privacy rights, international transfers, optional Cloud Processing, service providers, representatives where applicable, and how to submit privacy requests. Please review it carefully.

Where required by law, we will request your consent separately for specific processing activities, such as crash reporting, Cloud Processing, or certain analytics activities that legally require consent. Using Geode does not mean that all personal data processing is based on consent.

13. Recording Consent and Legal Compliance

Geode may allow you to record, import, transcribe, translate, summarize, or process audio, video, conversations, meetings, interviews, calls, lectures, podcasts, or other content. Laws regarding recording, notice, consent, confidentiality, privacy, and use of recordings vary by jurisdiction and context.

You are solely responsible for obtaining all legally required notices, consents, permissions, and authorizations before recording, importing, transcribing, translating, summarizing, uploading, sharing, publishing, or otherwise using any content. Geode is not responsible for determining whether your recording or use of content is lawful in your jurisdiction.

You must not use Geode to violate the privacy, publicity, intellectual property, contractual, employment, professional, regulatory, or other rights of any person or organization.

14. AI Outputs, Accuracy, and Professional Responsibility

Geode may generate transcripts, translations, speaker labels, summaries, notes, templates, or other AI-assisted outputs. AI-generated and automated outputs may be inaccurate, incomplete, misleading, mistranscribed, mistranslated, mislabeled, or unsuitable for your intended purpose.

You are responsible for reviewing and verifying all outputs before relying on, quoting, publishing, submitting, sharing, filing, or using them for professional, legal, medical, financial, journalistic, employment, academic, regulatory, or other important purposes.

Geode does not provide legal, medical, financial, journalistic, compliance, or other professional advice. You should consult a qualified professional where appropriate.

15. Acceptable Use Restrictions

You must use Geode in a lawful, fair, and reasonable manner. You must not:

(a) use Geode to create, process, store, share, or publish unlawful, harmful, infringing, abusive, deceptive, or unauthorized content;

(b) record, transcribe, translate, summarize, upload, share, or publish content without legally required notice, consent, permission, or authorization;

(c) infringe or misappropriate intellectual property, privacy, publicity, confidentiality, or other rights of any person or organization;

(d) use Geode to stalk, harass, surveil, impersonate, defame, threaten, exploit, or harm another person;

(e) use Geode to process malware, harmful code, or content intended to compromise systems or security;

(f) interfere with, damage, disrupt, overload, attack, or attempt to gain unauthorized access to Geode, our systems, third-party services, or other users’ accounts;

(g) bypass, disable, or circumvent license controls, account limits, cloud quotas, payment controls, usage limits, security features, or technical restrictions;

(h) share, resell, rent, sublicense, transfer, or commercially exploit your account, license, subscription, Lifetime License, Cloud Top-Up, or cloud credits except as expressly permitted;

(i) use automated scripts, bots, or other tools to abuse, scrape, overload, or manipulate the Services; or

(j) use Geode in violation of applicable law, platform rules, payment processor terms, or these Terms.

16. Intellectual Property

Geode, the Software, Services, website, names, trademarks, logos, interface designs, features, text, graphics, code, algorithms, models, databases, documentation, templates, and related materials are owned by or licensed to us and are protected by intellectual property and other laws.

Except for the limited license expressly granted in these Terms, we and our licensors reserve all rights, title, and interest in and to Geode and related materials. You may not use our names, trademarks, logos, or branding without our prior written permission.

You retain ownership of your User Content. You grant us only the limited rights necessary to provide features you request, such as processing a cloud transcription or cloud summary task you choose, providing support, enforcing these Terms, or complying with law, as further described in our Privacy Policy.

17. Copyright Complaints

Geode is not designed as a public hosting platform for user content. However, if you believe that content processed, made available, or used in connection with Geode infringes your copyright, you may contact us at [email protected] with the subject line “Copyright Complaint”.

Please include:

(a) identification of the copyrighted work you claim has been infringed;

(b) identification of the allegedly infringing material or activity and enough information for us to locate or understand it;

(c) your contact information;

(d) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;

(e) a statement that the information you provide is accurate and that you are authorized to act on behalf of the copyright owner; and

(f) your physical or electronic signature.

We may review such reports and may, at our discretion, take appropriate action, including suspending or terminating access for users who repeatedly infringe copyright.

18. Third-Party Products, Platforms, and Services

Geode may interoperate with or link to third-party products, platforms, services, payment processors, app stores, operating systems, cloud infrastructure, file storage services, meeting tools, import sources, or export destinations. Third-party products and services are governed by their own terms and privacy policies.

We are not responsible for third-party products or services, including their availability, security, performance, accuracy, pricing, refund rules, data practices, or content. Your use of third-party products or services is at your own risk and may require separate accounts, payments, permissions, or consents.

19. Updates, Availability, and System Requirements

Feature availability may depend on device model, operating system, memory, storage, processor, network availability, supported media formats, account status, paid plan, region, and product version. Some features may require Apple Silicon Mac or other supported hardware.

Geode may notify you when a new version is available. For direct distribution versions, updates may require you to manually download and install a new installer from our website or another official distribution channel. We do not currently provide automatic background updates for all direct distribution versions.

Some features, compatibility fixes, security updates, or cloud-connected services may require the latest version of the App. If you choose not to install an available update, some features may not function properly or may no longer be supported.

We may introduce automatic updates in the future. If we do so, we will provide reasonable notice in the App, on our website, or through another reasonable method before automatic updates take effect.

20. Suspension and Termination

These Terms remain in effect until terminated by you or us. You may stop using Geode at any time. If you have a paid subscription, you are responsible for canceling it through the applicable platform, payment processor, or account mechanism.

We may suspend or terminate your access to Geode or specific features if we reasonably believe that you have violated these Terms, engaged in fraud or abuse, shared credentials, bypassed license controls, violated law, infringed third-party rights, created security risks, or used Geode in a manner that may harm us, users, third parties, or the Services.

We may also suspend access where necessary for security, maintenance, legal compliance, platform requirements, payment failures, infrastructure issues, or events outside our reasonable control.

Upon termination, your license to use the Software and Services ends, except to the extent required by law or expressly provided by a surviving license or plan. Termination does not affect fees accrued before termination, provisions intended to survive termination, or your responsibility for User Content you exported, shared, or published.

Sections concerning intellectual property, user content, recording consent, AI outputs, acceptable use, payments owed, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions survive termination to the extent applicable.

21. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Geode and the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, compatibility, or uninterrupted operation.

We do not guarantee that Geode will be error-free, uninterrupted, secure, compatible with all devices, suitable for your intended use, or that transcripts, translations, speaker labels, summaries, or other outputs will be accurate, complete, or reliable.

Nothing in these Terms excludes or limits warranties or rights that cannot be excluded or limited under applicable law, including mandatory consumer guarantees where applicable.

22. Limitation of Liability

To the fullest extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, business, goodwill, data, User Content, device access, or anticipated savings, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms, Geode, the Software, or the Services will not exceed the greater of (a) the amounts you paid to us for the Services in the 12 months before the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or your mandatory statutory consumer rights.

23. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless OmniIntelliLink Pte. Ltd., Geode, and our officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or related to:

(a) your unlawful use or misuse of Geode;

(b) your breach of these Terms;

(c) your violation of applicable law or third-party rights;

(d) your recording, importing, uploading, sharing, publishing, or use of User Content without required notice, consent, permission, or authorization; or

(e) your fraud, account sharing, credential resale, security breach, or circumvention of technical or payment controls.

This indemnity does not apply to the extent prohibited by applicable consumer protection law.

24. Minimum Age

The Services are not intended for children under 13, or under the minimum age required by applicable law in their jurisdiction if higher. If you are under the age of majority in your jurisdiction, you may use Geode only with the consent and supervision of a parent or legal guardian.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, except to the extent mandatory laws of your country of residence provide otherwise.

If a dispute arises, the parties will first attempt to resolve it through good-faith consultation. If the dispute is not resolved within 30 days, then, except where prohibited by applicable law, the dispute will be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in Singapore in accordance with the SIAC Rules. The language of arbitration will be English. The arbitral award will be final and binding.

Unless prohibited by applicable law, claims must be brought on an individual basis only and not as a class action, collective action, or representative proceeding. This restriction does not apply if it is unenforceable in your jurisdiction.

If you are a consumer resident in the European Union, European Economic Area, United Kingdom, Switzerland, or another jurisdiction with mandatory consumer protection laws, you may have the right to bring claims in your local courts and benefit from mandatory protections of your country of residence. Nothing in this Section limits such mandatory rights.

26. Changes to These Terms

We may update these Terms from time to time.

Non-material changes, such as clarifications, contact information updates, corrections of typographical errors, or changes that do not materially affect your rights or paid access, will take effect when posted unless a later effective date is stated.

Material changes, including changes to pricing terms, refund terms, user rights, payment terms, paid access, or the scope of the Services that materially affect your rights or paid access, will take effect no earlier than 30 days after we notify you by email, in-App notice, website notice, or another reasonable method, unless a shorter period is required to comply with law, address security risks, or respond to urgent operational issues.

If you do not agree to a material change, you may cancel any active subscription before the change takes effect, with no charge for future renewals. If you prepaid for an annual subscription or another period-based plan, you may be entitled to a pro-rated refund for the unused portion of the paid period, calculated from the effective date of the material change, except where handled differently by Apple, Google, an applicable platform, or a payment processor, or where otherwise required by law.

For Lifetime License holders, material changes will not reduce the paid local features included in your Lifetime License at the time of purchase without your express agreement.

Your continued use of Geode after the effective date of an updated version of these Terms, after you have been notified where required, means that you accept the updated Terms.

27. General Provisions

Assignment. You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or transfer of the Services, provided that such transfer does not materially reduce your mandatory consumer rights.

Severability. If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms will not be a waiver of that provision or any other provision.

Entire Agreement. These Terms, together with our Privacy Policy and any terms presented at checkout or in an applicable plan description, constitute the entire agreement between you and us regarding Geode, except where platform terms from Apple, Google, or another authorized platform apply to your purchase.

Force Majeure. We are not responsible for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, labor disputes, internet or cloud infrastructure failures, power outages, security incidents, government actions, platform restrictions, third-party service interruptions, or other events outside our reasonable control.
